Binding Contracts: Initial discovery calls, strategy chats, or web bookings do not constitute a formal agreement for technical execution. Official client engagements, scope boundaries, deliverables, timelines, and payment terms are strictly governed by a separate, signed Project Proposal, Statement of Work (SOW), or Master Services Agreement (MSA) executed prior to project kickoff.

2. Client Responsibilities & Software Subscriptions

To engineer, test, and deploy automated digital systems effectively, you acknowledge and agree that:

Third-Party Subscriptions: You maintain direct ownership of and financial responsibility for all active, paid subscriptions to third-party software required for your ecosystem (e.g., GoHighLevel, Make, n8n, Zapier, HubSpot, Zoho CRM, Webflow, OpenAI, etc.).

Access & Credentials: You are responsible for providing secure, timely administrative access, API keys, and essential business documentation required to complete the agreed scope of work. Delays in access provision may impact delivery timelines.

Data Ownership & Integrity: You retain full ownership, copyright, and legal responsibility for all business data, customer details, and content processed within your connected applications.

3. Limitation of Liability & Third-Party Dependency

While I engineer resilient, production-grade automation architecture, custom systems rely on external software infrastructure. By engaging my services, you acknowledge the following limitations:

API & Platform Changes: I am not liable for system disruptions or workflow failures caused by third-party software vendors updating their APIs, changing pricing models, modifying permissions, or deprecating features following project delivery.

Server Outages & Downtime: I am not responsible for lost revenue, operational delays, or data gaps resulting from third-party vendor service outages (e.g., GoHighLevel downtime, Make server interruptions, or OpenAI API latency).

Indirect Damages: To the maximum extent permitted by applicable law, I shall not be liable for any indirect, incidental, punitive, or consequential damages arising from the use of, or inability to use, built automation workflows or web infrastructure.

4. Intellectual Property & Deliverables

Portfolio Assets: All visual elements, layout designs, media, branding, and written copy on this portfolio website are my intellectual property and may not be copied, distributed, or republished without explicit written permission.

Client Project Deliverables: Upon complete and final payment for an executed project contract, ownership of the specifically configured client workflows, funnels, and system databases transfers to the client.

Reusable Logic: I retain the right to reuse foundational code snippets, underlying automation frameworks, general workflow logic, and technical templates developed during an engagement to service future projects.

5. Termination of Use

I reserve the right to restrict, pause, or terminate access to my booking calendar, communication channels, or discovery scheduling tools at my discretion, without prior notice, if a user exhibits abusive behavior, provides fraudulent information, or violates these Terms of Service.

6. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of the Philippines. Any legal disputes or claims arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts in the Philippines.
